Terms of service

1. These terms

These terms govern your access to and use of the OLSYN StudiO website and the StudiO product ("the Service"), provided by Olsyn ("we", "us"). By using the Service, you agree to these terms.

If you are agreeing on behalf of an organisation, you confirm that you have authority to bind that organisation and "you" means that organisation.

Where we have a separate executed master agreement or enterprise agreement with you covering the Service, that agreement prevails over these terms to the extent of any inconsistency.

2. The Service

StudiO processes floorplans you provide, including vector PDFs and raster images, and produces draft three-dimensional geometry and related outputs from them, including an inspectable model, a fitted vector plan and hosted leasing pages. What the Service does at any time is described on our website and in applicable product documentation.

The outputs are draft geometry intended for visualisation, marketing, early massing and preliminary decision-making. They do not constitute construction-grade BIM, measured surveys or architectural certification and are not a substitute for professional documentation (see Section 8).

3. Accounts and access

Some features of the Service require an account. You are responsible for maintaining the accuracy of your registered details, keeping credentials confidential and for all activity occurring under your account. You must notify us promptly if you suspect unauthorised access to your account.

4. Your content and data rights

You retain all ownership and intellectual property rights in the floorplans, drawings, images, text and other material you provide ("Your Content"). We do not claim ownership of Your Content.

You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit and display Your Content solely to the extent necessary to operate, maintain and provide the Service and outputs requested by you and to comply with legal obligations. This licence terminates when Your Content is deleted, subject to routine backup retention described in our privacy policy.

AI and model training. For the avoidance of doubt, Olsyn does not sell, monetise or use Your Content or generated outputs to train, fine-tune or develop public or third-party artificial intelligence or machine learning models without your explicit written consent.

You warrant that you own Your Content or possess all necessary rights, permissions and licences, including from architects, surveyors or copyright holders, to provide it to us and that our processing of it will not infringe any third-party rights.

5. Outputs

Subject to your compliance with these terms and payment of applicable fees, all models, images, plans and hosted pages produced by the Service from Your Content are yours to use for your internal business and commercial marketing purposes. We retain all rights, title and interest in and to the Service itself, including all underlying software, algorithms, proprietary methods, geometric extraction engines and infrastructure.

6. Acceptable use

You must not, and must not permit any third party to:

• Upload material you do not have the legal right to provide or that infringes intellectual property or privacy rights.
• Upload malicious code, viruses or use the Service to attack, disrupt, overload or compromise any system.
• Probe, scan, scrape, reverse engineer, decompile or attempt to derive the source code, underlying algorithms or proprietary methods of the Service, except where non-excludable by law.
• Resell, sublicense, white-label or provide the Service as a managed service to third parties without our prior written consent.
• Misrepresent the outputs — specifically presenting draft geometry as a measured survey, structural documentation or certified lease area measurement.
• Use the Service if you are under 18 years of age.
• Use the Service in breach of applicable laws, including export controls and privacy regulations.

7. Fees and payment

Where the Service is provided for a fee, fees, billing frequency and payment terms are set out in your accepted order form, online checkout or quotation. Unless expressly stated otherwise, all fees exclude applicable taxes, which are your responsibility.

8. Disclaimers and accuracy

The Service extracts geometry automatically. Source drawings vary in quality, scale and completeness and extraction involves automated interpretation. We do not warrant that outputs are error-free, complete, dimensionally accurate or fit for a specific structural or legal purpose.

Critical use warning. You must not rely on outputs for construction, structural engineering, statutory compliance, property valuation, formal lease-area certification or safety-critical applications. Independent measured surveys must be obtained for these purposes.

To the maximum extent permitted by law, the Service is provided "as is" and "as available". Where statutory consumer guarantees apply under the Australian Consumer Law that cannot be excluded, our liability for breach of such guarantee is limited, at our option, to re-supplying the Service or paying the cost of re-supply.

9. Availability and modifications

We strive to maintain high service availability but do not guarantee uninterrupted access. System maintenance, updates and force majeure events may cause temporary downtime. We reserve the right to modify or enhance features. Where a change materially reduces core paid functionality, we will provide reasonable advance notice.

10. Limitation of liability

To the maximum extent permitted by law:

• Neither party will be liable for any indirect, incidental, special, consequential or punitive damages or for loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with the Service.
• Olsyn's total aggregate liability arising out of or related to these terms or the Service is limited to the total amount paid by you to Olsyn for the Service in the twelve (12) months preceding the event giving rise to liability (or AUD 100 if no fees have been paid).

11. Indemnity

You agree to indemnify and hold harmless Olsyn, its officers and employees against any third-party claims, liabilities, losses and reasonable legal costs arising from Your Content, your commercial reliance on outputs or your breach of these terms — except to the extent the claim directly results from our negligence or wilful misconduct.

12. Suspension and termination

You may terminate your account at any time via the Service settings or in accordance with your plan terms. We may suspend or terminate your access immediately if you materially breach these terms, fail to pay fees or if your continued use poses a security risk to the platform.

Sections that by their nature should survive termination will survive, including Sections 4 (Data Rights), 5 (Outputs), 8 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnity) and 14 (Governing Law).

13. Privacy, security and data sovereignty

Our handling of personal data is governed by our privacy policy, which is incorporated into and forms part of these terms.

Data sovereignty and residency. Storage and cross-border processing locations are managed in accordance with Section 6 of our privacy policy.

Security and data breaches. Olsyn maintains administrative, physical and technical safeguards designed to protect your data. Incident notifications will be conducted in accordance with the Australian Notifiable Data Breaches scheme.

14. Governing law and jurisdiction

These terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.

15. Updates to these terms

We may update these terms to reflect product evolutions or legal changes. The current version will always be published on our website with the updated effective date. Continued use of the Service following published updates constitutes acceptance of the revised terms.
